1. Introduction

These Terms of Use (“Terms”) govern your access to and use of the PlayBox Oy website located at https://www.playbox.fi (the “Website”), including any content, features, services, or tools made available on or through the Website (collectively, the “Services”).

By accessing or using the Website or Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not access or use the Website or Services.  

2. Use of the Website

  • You may use the Website for lawful purposes only.
  • You are responsible for all activities that occur under your account or using your password.
  • You must not:
    • Use the Website to transmit any viruses, worms, defects, Trojan horses, or other items of a destructive nature.
    • Use the Website for any unlawful, harmful, or offensive purpose.  
    • Interfere with or disrupt the operation of the Website or any servers or networks connected to the Website.
    • Attempt to gain unauthorized access to any portion of the Website or any accounts, computer systems, or networks connected to the Website.

The Website and all content, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by PlayBox Oy, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.  

You may not use any PlayBox Oy trademarks or logos without the express written consent of PlayBox Oy.

4. User Content

The Website may allow you to submit, post, display, or transmit to other users or other parties (“post”) content, including but not limited to text, photographs, videos, and audio (“User Content”). You are solely responsible for the content of any User Content you post.

By posting User Content, you represent and warrant that:

  • You are the owner of such User Content or have the necessary licenses, rights, consents, and permissions to use and authorise PlayBox Oy to use such User Content as contemplated by the Website and these Terms.
  • Your User Content does not and will not:
    • infringe, misappropriate, or violate any third-party rights, including any copyright, trademark, patent, trade secret, moral right, privacy right, right of publicity, or other intellectual property or proprietary right;  
    • violate any law, statute, ordinance, or regulation (including, but not limited to, those related to obscenity, defamation, libel, privacy, and fraud);
    • be deceptive, fraudulent, unfair, or misleading;
    • be harmful, threatening, abusive, harassing, tortuous, defamatory, vulgar, obscene, libelous, invasive of another’s privacy, hateful, or racially, ethnically, or otherwise objectionable;  
    • contain any viruses, trojan horses, worms, time bombs, cancelbots, or other computer programming routines that are intended to damage, detrimentally interfere with, surreptitiously intercept or expropriate any system, data, or personal information;  
    • constitute unsolicited or unauthorised advertising, solicitations, spam, or promotional materials;
    • impersonate any person or entity, or falsely claim an affiliation with any person or entity;
    • interfere with another user’s uninterrupted use and enjoyment of the Website;
    • contain any information that you do not have the right to disclose or make available under any law or under contractual or fiduciary relationships; or  
    • otherwise cause harm to PlayBox Oy or any third party.

You grant PlayBox Oy a non-exclusive, transferable, sublicensable, royalty-free, worldwide license to use, host, store, reproduce, modify, create derivative works of, communicate, publish, publicly perform, publicly display, and distribute any User Content you submit, post, or display on the Website or through the Services.  

5. Disclaimer of Warranties

THE WEBSITE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT ANY WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.  

PLAYBOX OY MAKES NO WARRANTY THAT THE WEBSITE OR SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.

PLAYBOX OY MAKES NO WARRANTY AS TO THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT ON THE WEBSITE.

6. Limitation of Liability

IN NO EVENT SHALL PLAYBOX OY BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL DAMAGES, OR ANY DAMAGES WHATSOEVER ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OF THE WEBSITE OR SERVICES, OR WITH THE DELAY OR INABILITY TO USE THE WEBSITE OR SERVICES, OR FOR ANY INFORMATION, SOFTWARE, PRODUCTS, SERVICES, AND RELATED GRAPHICS OBTAINED THROUGH THE WEBSITE, OR OTHERWISE ARISING OUT OF THE USE OF THE WEBSITE, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, EVEN IF PLAYBOX OY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.  

7. Indemnification

You agree to indemnify and hold harmless PlayBox Oy and its affiliates, officers, directors, employees, agents, licensors, and suppliers from and against any claims, losses, liabilities, expenses, damages, and costs, including, but not limited to, attorneys’ fees, arising from or in any way connected with your use of the Website or Services, your violation of these Terms, or your violation of any rights of another.  

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Finland, without regard to its conflict of law provisions.  

9. Dispute Resolution

Any disputes arising from these Terms, the Website, or the Services shall first be attempted to be resolved through mediation administered by the Finnish Bar Association’s Mediator Register. If unresolved, disputes shall be finally settled by arbitration in accordance with the Arbitration Rules of the Finland Chamber of Commerce in Helsinki, Finland, in English. PlayBox Oy reserves the right to seek injunctive relief in Finnish courts for intellectual property or confidentiality breaches.

10. Changes to These Terms

PlayBox Oy reserves the right, in its sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least [Number] days’ notice prior to the new terms taking effect. What constitutes a “material change” will be determined at our sole discretion.
